Service Availability and Liability

We aim to keep the Platform available at all times, but we do not guarantee uninterrupted or error-free operation. Payment and Billing

By using the Platform, you represent and warrant that: Our services are available on a subscription basis, with options for monthly or annual billing. Subscription fees may be modified, and any changes will apply to the next billing cycle. Users may cancel their subscriptions at any time through their account dashboard, but refunds will not be provided for any previously paid periods. Payments are processed through third-party providers, and you agree to provide accurate payment information. Any disputes regarding payments should be addressed directly with our support team.

Subscription and Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis. Subscription fees are subject to change, but your rate will remain unchanged for the duration of your subscription term. In no event shall Classpass Technologies LLC or its affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or in connection with the use or inability to use the Platform, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the amount you paid to us during the twelve (12) months prior to the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Classpass Technologies LLC, its affiliates, and its respective officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses arising out of or related to your use of the Platform, violation of these Terms, or infringement of any intellectual property or other right of any person or entity.

Termination

We reserve the right to terminate or suspend your access to the Platform, with or without notice, if you breach these Terms or engage in conduct that we determine is harmful to other users or to the Platform’s integrity. Upon termination, all provisions that, by their nature, should survive will remain in effect, including but not limited to intellectual property rights, warranty disclaimers, and limitations of liability.

Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of the Platform will be resolved in the state or federal courts located in New York.

User Policy

Our platform is intended solely for educational purposes. Any commercial or non-educational use is prohibited. Users found to be engaging in prohibited activities, including academic dishonesty, may have their accounts suspended or terminated. Classpass Technologies LLC is not liable for any misuse of the Platform, and responsibility lies with the user for any consequences resulting from improper use.
